Terms of Service

By accessing or using Nexbi AI (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Nexbi AI, Inc. ("Nexbi AI", "we", "our", "us"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

Nexbi AI is an AI-powered personal finance companion that helps users track expenses, build savings roadmaps, and improve their financial habits. The Service includes:

• A mobile application (iOS and Android)
• A web application accessible via browser
• An AI chat assistant for financial guidance
• Expense tracking and categorisation tools
• Personalised financial roadmap and goal-setting features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

To use most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials confidential and not share them with others
• Notify us immediately of any unauthorised use of your account
• Be at least 16 years of age (or the minimum age in your jurisdiction)
• Be responsible for all activity that occurs under your account

You may not create accounts using automated means, or create accounts on behalf of others without their explicit consent. We reserve the right to suspend or terminate accounts that violate these requirements.

Nexbi AI offers two subscription tiers:

Free Plan — Available to all registered users at no cost, for as long as they wish. The Free plan includes limited AI messages (3 per day), one active financial roadmap, and 30 days of expense history. Free plan features may be modified at our discretion with prior notice.

Pro Plan — A paid subscription providing unlimited AI messages, full expense history, unlimited roadmaps, advanced insights, and other premium features. Pro plan pricing is as published on our Pricing page. We will provide at least 30 days' notice of any price increase, and your price will not change mid-billing-period.

Pro plan subscriptions are billed in advance on a monthly or annual basis, depending on your selected cycle. By subscribing, you authorise us to charge your payment method at the then-current price on each renewal date.

• Cancellation: You may cancel your Pro subscription at any time via Settings > Subscription. Cancellation takes effect at the end of the current billing period — you will not be charged again, and you retain Pro access until the period ends.
• Refunds: We offer a 7-day money-back guarantee on your first Pro payment. After 7 days, subscription payments are non-refundable except where required by applicable law.
• Failed payments: If a payment fails, we will retry it up to three times over 10 days. If payment cannot be collected, your account will revert to the Free plan.
• Taxes: Prices are exclusive of applicable taxes. You are responsible for any local taxes or levies on your subscription.

We support payment via MTN Mobile Money, Orange Money, Visa, and Mastercard. All payment processing is handled by certified third-party processors. We do not store your full card or mobile money account details.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Engage in money laundering, fraud, or any illegal financial activity
• Harass, threaten, or harm other users or Nexbi AI staff
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or extract source code from the Service
• Use automated bots, scrapers, or scripts to access the Service without permission
• Transmit malware, viruses, or other harmful code
• Misrepresent your identity or impersonate any person or organisation
• Share, sell, or transfer your account credentials to any third party

Violation of these provisions may result in immediate account suspension or termination without refund.

The AI features within Nexbi AI are designed to help you understand your finances and build better habits. They do not constitute professional financial, investment, tax, or legal advice.

AI-generated suggestions, roadmaps, and insights are based on the information you provide and general financial principles. They may not account for your complete financial situation, local regulations, or individual circumstances. Always consult a qualified financial adviser before making significant financial decisions.

Nexbi AI does not guarantee any specific financial outcome or return as a result of using the Service.

All intellectual property in the Service — including software, design, trademarks, logos, and content created by Nexbi AI — is owned by Nexbi AI, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for personal, non-commercial purposes.

You retain ownership of all financial data and content you input into the Service. By using the Service, you grant us a limited licence to process your data solely to provide the features you request, as described in our Privacy Policy.

The Service may integrate with or link to third-party services (such as payment processors, authentication providers, and AI model providers). Your use of those services is subject to their own terms and privacy policies. Nexbi AI is not responsible for the content, accuracy, or practices of any third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any AI-generated content or financial suggestions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXBI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

You may stop using the Service and delete your account at any time via Settings > Account > Delete Account.

We may suspend or terminate your access to the Service, without prior notice or liability, if you breach these Terms or if we reasonably believe your account poses a security risk. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including IP, disclaimers, and liability limitations) will continue to apply.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction for urgent matters.

If you are a consumer in the EU or UK, you may have additional rights under applicable consumer protection laws. Nothing in these Terms limits those rights.

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice in the app at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
